Effective date: 2026-10-18
These Terms of Service (the "Terms") govern access to and use of Ophiry, the knowledge-base software service available at https://ophiry.com and https://app.ophiry.com (the "Service").
The Service is provided by Andre Geha, trading as Ophiry, Baabda, Lebanon ("Ophiry", "we", "us"). By creating an account, starting a trial, purchasing a subscription or otherwise using the Service, you agree to these Terms on behalf of the organisation you represent (the "Customer", "you"). If you do not agree, do not use the Service.
1. Business use only
1.1 The Service is offered exclusively to businesses, organisations and professionals acting for purposes related to their trade, business or profession. It is not offered to consumers. By accepting these Terms you confirm that you are acting in that capacity and that you are authorised to bind the Customer.
1.2 You must be at least 18 years old and have legal capacity to enter into these Terms.
2. Our reseller and merchant of record
2.1 Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries relating to payment and handles returns and refunds.
2.2 Payments, invoices, taxes, cancellations of payment and refunds are processed by Paddle under the Paddle Buyer Terms. Where those terms and these Terms conflict on a payment matter, Paddle's terms prevail for that matter.
3. The Service
3.1 The Service lets the Customer upload documents, have artificial-intelligence models draft and maintain a knowledge base from them, and let its own users and readers consult it, including through an AI assistant.
3.2 We may change, improve or discontinue features of the Service at any time. We will give reasonable notice of any change that materially reduces the functionality of a paid plan during the Customer's current billing period.
3.3 Plans, limits and included features are described in the application at the time of purchase. Limits are enforced by the Service; when a limit is reached, adding more of the limited item is refused until usage is reduced or the plan is changed.
4. Accounts and access
4.1 The Customer is responsible for all activity under its workspace, for the users and readers it invites, for keeping credentials confidential, and for promptly notifying us of any unauthorised access at support@ophiry.com.
4.2 The Customer must provide accurate account and billing information and keep it current.
5. Free trial
5.1 We may offer a free trial with the limits shown in the application. No payment method is required for the trial. At the end of the trial the workspace becomes read-only until a plan is purchased.
5.2 Trials are provided "as is", without any commitment of any kind, and may be limited, shortened or withdrawn at our discretion.
6. Subscriptions, fees and taxes
6.1 Paid plans are billed in advance, monthly or yearly, through Paddle, and renew automatically for successive periods of the same length until cancelled.
6.2 Prices are stated exclusive of taxes. Applicable taxes are calculated and collected by Paddle as merchant of record.
6.3 An upgrade takes effect immediately and is charged pro rata for the remainder of the current period. A downgrade takes effect at the end of the current paid period and is only possible when the workspace fits within the limits of the new plan.
6.4 We may change prices for future billing periods with at least 30 days' notice. A price change never applies to a billing period that has already been paid.
6.5 If a payment fails, the Service may continue for a grace period, after which the workspace becomes read-only until the payment is settled.
7. Cancellation, refunds and termination
7.1 The Customer may cancel its subscription at any time from the application. Cancellation takes effect at the end of the current paid period; the Service remains available until then.
7.2 Refunds are governed by our Refund Policy.
7.3 We may suspend or terminate the Customer's access, in whole or in part, with or without notice, if the Customer materially breaches these Terms, fails to pay, uses the Service in breach of the Acceptable Use Policy, or if its use creates a security, legal or fraud risk for us, for other customers or for third parties.
7.4 When a subscription ends, the workspace first becomes read-only, during which the Customer can still read and export its data, and may later be disabled. We do not automatically delete Customer Data on expiry, but we have no obligation to retain it indefinitely after the subscription has ended. It is the Customer's responsibility to export its data before the end of its subscription.
8. Customer Data and content
8.1 "Customer Data" means the documents, content and other data that the Customer and its users upload to or generate in the Service. As between the parties, the Customer owns its Customer Data.
8.2 The Customer grants us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Customer Data solely to provide, secure and support the Service, including by sending it to the AI model providers listed in our Data Processing Agreement for processing.
8.3 The Customer is solely responsible for its Customer Data: its accuracy, quality and legality, and for having all rights, licences, consents and legal bases needed to upload it and to have it processed through the Service, including by AI models.
8.4 Unless agreed with us in writing, the Customer must not upload: special categories of personal data (such as health, biometric, genetic, religious or political data), personal data of children, payment card data, government identification numbers, or any data subject to sector-specific regulation (such as protected health information).
8.5 Personal data contained in Customer Data is processed under our Data Processing Agreement, which forms part of these Terms.
9. Artificial intelligence
9.1 The Service uses third-party artificial-intelligence models. AI-generated content may be inaccurate, incomplete, outdated or inappropriate, even where it cites sources. It does not constitute legal, financial, medical, tax or any other professional advice.
9.2 The Customer is solely responsible for reviewing AI-generated content before publishing, relying on or acting on it, and for all decisions taken on its basis.
9.3 The Customer must not use the Service to generate content that is unlawful, misleading, defamatory or infringing, or to make decisions with legal or similarly significant effects on individuals without human review.
9.4 We do not use Customer Data to train AI models, and we use AI providers under terms that do not allow them to train their models on it.
10. Acceptable use
The Customer must comply, and ensure its users comply, with our Acceptable Use Policy.
11. Intellectual property
11.1 We and our licensors own all rights in the Service, its software, design, documentation and trademarks. No rights are granted except the limited right to use the Service during the subscription in accordance with these Terms.
11.2 The Customer must not copy, modify, reverse engineer, resell or create derivative works of the Service, or use it to build a competing product.
11.3 If the Customer sends us feedback or suggestions, we may use them without restriction or obligation.
12. Availability and support
12.1 We aim to keep the Service available and secure, but the Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, timely, error-free or free of loss of data, and no service-level commitment applies unless agreed in a separate signed agreement.
12.2 Support is provided by email at support@ophiry.com, on a reasonable-efforts basis.
13. Disclaimer of warranties
To the maximum extent permitted by law, we disclaim all warranties and conditions, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, title and non-infringement. The Customer uses the Service at its own risk.
14. Limitation of liability
14.1 To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity or anticipated savings, or for any loss, corruption or unavailability of data, however caused and even if we were advised of their possibility.
14.2 To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service and these Terms, in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the amount the Customer actually paid for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (USD 100) if the Customer paid nothing in that period.
14.3 Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or gross fault.
14.4 The limitations in this section apply to all claims together, also benefit our suppliers and sub-processors, and reflect an allocation of risk that is reflected in the price of the Service.
15. Indemnity
The Customer shall defend, indemnify and hold harmless Andre Geha and Ophiry against any claim, loss, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or related to: (a) Customer Data, including any claim that it infringes the rights of a third party or was processed without a valid legal basis; (b) the Customer's or its users' use of the Service or of AI-generated content; or (c) the Customer's breach of these Terms or of applicable law.
16. Time limit for claims
Any claim arising out of or in connection with the Service or these Terms must be brought within one (1) year after the cause of action arose, failing which it is permanently barred, to the extent permitted by law.
17. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including natural events, war, unrest, acts of authorities, failures of power, internet or hosting providers, cyber-attacks, or failures of third-party services such as AI model providers.
18. Confidentiality and security
We keep Customer Data confidential and use reasonable technical and organisational measures to protect it, as described in our Data Processing Agreement. The Customer is responsible for the security of its own devices, credentials and the users it invites.
19. Changes to these Terms
We may update these Terms. We will publish the updated Terms with a new effective date and, for material changes, notify the Customer's administrators by email or in the application at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If the Customer does not agree, it may cancel its subscription before the change takes effect.
20. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by the laws of the Republic of Lebanon, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the competent courts of Baabda, Lebanon.
21. General
21.1 These Terms, together with the documents they reference, are the entire agreement between the parties about the Service and replace any prior arrangement.
21.2 If any provision is held invalid or unenforceable, the rest remains in force and the provision is applied to the maximum extent permitted.
21.3 Our failure to enforce a right is not a waiver of it.
21.4 The Customer may not assign these Terms without our prior written consent. We may assign them to a successor of our business, including a company we form to operate the Service.
21.5 No third party has any right to enforce these Terms.
21.6 Notices to us must be sent to support@ophiry.com. Notices to the Customer may be sent to the email addresses of its workspace administrators or shown in the application.
